  • Real Estate and Asset Structuring Real estate transactions, investments and asset structuring in Brazil.

    Our real estate practice focuses on the structuring and execution of real estate transactions, including domestic and foreign investments in Brazil. We advise clients on acquisitions, development, and the organization of real estate assets, including due diligence, negotiation, and contract drafting. We also handle judicial and extrajudicial auctions, real estate credit recovery, and asset portfolio management. We combine legal expertise with business insight to structure real estate investments with security, efficiency, and appropriate transaction design.

  • Brazilian Companies and Foreign Capital Company structuring, foreign investment, and corporate transactions in Brazil.

    We advise on corporate and M&A transactions with a focus on structuring investments in Brazil, including companies with foreign capital participation. We assist in the incorporation of companies, corporate reorganizations, and the acquisition or sale of equity interests, including the drafting and negotiation of strategic agreements. Our work ranges from initial structuring to complex M&A transactions, including NDA, MoU, LOI, term sheets, and share purchase agreements (SPA). We support foreign investors and business groups in cross-border transactions, with an integrated approach and a focus on efficient corporate structuring.

    We advise on immigration matters with a focus on the international mobility of investors, executives, and families relocating to Brazil. We assist with obtaining visas and residence permits, including those based on investment or employment. We also advise on naturalization, immigration regularization, and administrative and judicial proceedings involving foreign nationals. Our support follows clients throughout each stage of the immigration process, with a strategic and tailored approach.

    Our tax practice is focused on tax efficiency and risk mitigation, combining tax planning with administrative and judicial litigation. We advise companies and individuals on tax regimes, transaction structuring, and tax credit recovery. We represent clients in tax assessments, enforcement proceedings, and disputes involving taxes, including those related to real estate, asset structuring, and cross-border transactions. Our approach integrates tax strategy with the client’s business and asset context, with a focus on legal certainty and tax coherence.

  • Wealth, Family and Succession Asset protection, succession planning, and resolution of strategic disputes.

    We advise on civil law matters with a focus on preventing and resolving disputes, including contractual litigation, liability matters, and asset-related conflicts. In family and succession law, we assist clients with asset structuring and succession planning, including probate proceedings, inheritance disputes, and asset reorganization, including matters involving foreign assets or non-resident heirs. We also handle complex disputes involving assets, family relationships, and real estate, with a strategic approach aligned with the client’s economic interests.
